Senior Corporate Counsel

Responsibilities

• Draft, review, negotiate, and manage construction-related agreements (EPC, design-build, professional services, procurement, MSAs, POs).
• Advise internal stakeholders on construction risk allocation, project execution, contract administration, and dispute avoidance.
• Provide legal support for site development, infrastructure expansion, and facility construction projects.
• Manage and resolve construction claims (delays, schedule impacts, change orders, differing site conditions, payment disputes, defective work, contract interpretation).
• Lead dispute resolution efforts, including negotiations, mediation, arbitration, litigation management, and settlement strategy.
• Coordinate with outside counsel and consultants and develop contract templates, policies, and best practices.
• Support due diligence related to acquisitions, site development, and strategic growth initiatives.

Requirements

• Juris Doctor (J.D.) from an accredited law school.
• Active license to practice law in at least one U.S. jurisdiction.
• 5+ years of litigation experience focused on commercial construction.
• Significant experience drafting and negotiating construction and commercial agreements.
• Experience handling construction claims, disputes, mediation, arbitration, and litigation management.
• Strong understanding of project delivery methods (design-build, EPC, traditional construction contracting).
• Ability to manage multiple matters, communicate complex legal concepts to business stakeholders, and work cross-functionally; candidates must be insurable under CleanSpark's vehicle insurance policy and able to travel between job sites.
